1. Agreement to Terms
These Terms and Conditions (“Terms”) govern your access to and use of Vendoor’s commerce software, storefront tools, and marketplace services operated by Vendoor Commerce Technologies Ltd. By creating a merchant account, launching a store, or making a purchase, you agree to these Terms and our Privacy Policy.
You must be at least 18 years of age and legally competent to enter into binding agreements.
2. What Vendoor Is and Is Not
Vendoor provides software infrastructure that allows independent sellers to launch web storefronts (vendoor.org.ng/s/your-store) and manage orders.
- Sales are strictly between the Seller and the Customer: Vendoor is not the retailer, manufacturer, auctioneer, or escrow service for products listed on independent stores.
- Sellers are solely responsible for product descriptions, stock levels, delivery, customer service, and returns.
- Vendoor does not hold customer funds: Payments are verified and settled directly to sellers’ bank accounts via licensed third-party gateways.
3. Payments, Payouts & Platform Fees
- Platform Fee: Vendoor charges a 3% platform fee on store sales transactions. Third-party payment gateway processing fees also apply.
- Settlement: Payments are verified and settled directly into the seller’s nominated Nigerian commercial bank account via our payment partners (Paystack and Monnify).
- Bank Verification: Payout accounts must be valid 10-digit NUBAN accounts verified against the Central Bank of Nigeria / NIBSS directory.
- Chargebacks & Disputes: Sellers are solely responsible for handling customer refunds, shipping disputes, and chargebacks.
4. Subscription Plans & Manual Renewals
Vendoor offers three subscription tiers:
- Free Forever (₦0): Up to 10 active products, standard Classic theme, guest checkout, and direct bank settlement.
- 30-Day Pro Free Trial: Automatically granted upon store onboarding; includes unlimited products and full storefront theme customization for 30 days (available once per seller).
- Premium Plan: Unlimited products and complete theme customization at ₦3,000/month or ₦25,000/year.
No Automatic Card Renewals:
Subscriptions are one-time prepaid periods. Vendoor does not store credit/debit card details and will never automatically charge your card. We send reminders before expiration; if you choose not to renew, your store automatically transitions to the Free Forever tier without losing your existing catalog or orders.
5. Seller Obligations & Prohibited Items
Sellers must accurately describe products, fulfill orders promptly, and comply with all applicable consumer protection and product safety laws. Sellers are strictly prohibited from selling:
- Illegal, stolen, or counterfeit goods;
- Weapons, explosives, or fireworks;
- Unlicensed prescription drugs, controlled narcotics, or hazardous chemicals;
- Adult sexually explicit materials;
- Scams, pyramid schemes, or deceptive financial offers.
6. The Vendoor Marketplace
Merchants can optionally list their store and products on the centralized Vendoor Marketplace. Listing requires an active, published storefront with valid pricing and configured bank payouts. Vendoor reserves the right to unlist items that violate our policies or generate unresolved customer complaints.
7. Limitation of Liability
To the maximum extent permitted by Nigerian law, Vendoor is not liable for indirect, incidental, or consequential damages, lost profits, or delivery failures by independent sellers. Vendoor’s total liability is capped at the total fees paid by you to Vendoor in the preceding 12 months, or ₦50,000, whichever is greater.
8. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the competent courts in Lagos State, Nigeria.
